1. About XLOXI

XLOXI PVT LTD is a digital agency based in Kanagarayankulam, Vavuniya 43000, Sri Lanka, specialising in Shopify store setup, theme customization, Shopify 2.0 and Liquid development, app integration, speed optimisation, store maintenance, web and ecommerce development, SEO and digital marketing for clients in Sri Lanka and worldwide.

2. Acceptance of Terms

By browsing xloxi.com, submitting a form, requesting a quote or entering into a project with us, you confirm that you are authorised to act for yourself or your organisation and that you accept these Terms. If you do not agree, do not use the website or our services.

3. Website use

You agree to use the website only for lawful purposes. You must not:

• Attempt to gain unauthorised access to our systems, admin areas or other users’ data.
• Upload malware, scrape content at scale without permission, or disrupt site availability.
• Misrepresent your identity or affiliation when contacting us.
• Use website content in a way that infringes intellectual property or privacy rights.

4. Quotes and proposals

Quotes, estimates and proposals provided by XLOXI are informational and remain valid for the period stated (or 14 days if unspecified), unless withdrawn earlier. A binding contract is formed only when both parties agree in writing (email is sufficient) to a scope, fees and timeline, or when a separate service agreement / statement of work is signed.

Prices may change if project requirements change after acceptance. Taxes, third-party licences (for example Shopify apps or themes), advertising spend and stock photography are excluded unless expressly included.

5. Services

We provide professional services including but not limited to Shopify store setup, theme customization, Shopify 2.0 development, Liquid coding, app integration, speed optimisation, bug fixes, store maintenance, custom web development, SEO and digital marketing.

Service deliverables, milestones, client responsibilities and acceptance criteria will be described in the agreed proposal or statement of work. Timelines depend on timely feedback, content and access from you (for example Shopify collaborator access, hosting credentials and brand assets).

6. Client responsibilities

You agree to:

• Provide accurate information, brand assets, product data and approvals needed to deliver the work.
• Ensure you have rights to materials you supply (logos, images, copy, product data).
• Maintain your own Shopify, hosting, domain and third-party account subscriptions and fees.
• Review deliverables promptly and provide consolidated feedback within agreed timeframes.

7. Fees and payment

Fees are as stated in the accepted quote or agreement. Unless otherwise agreed, invoices are due within the payment terms specified (commonly advance deposit before work starts and balance on milestones or completion).

Late payments may pause work and may incur reasonable late charges where permitted by law. Third-party costs billed through us may require prepayment.

8. Intellectual property

Upon full payment, you receive ownership of final custom deliverables created specifically for your project (for example custom theme code and designs produced for you), excluding our pre-existing tools, frameworks, libraries, internal processes and third-party components.

XLOXI retains the right to display non-confidential work in our portfolio and marketing unless a written NDA or agreement says otherwise. Open-source and third-party licences continue to apply to those components.

9. Confidentiality

Each party will keep confidential information received from the other reasonably secure and use it only for the project, except where disclosure is required by law or the information is already public through no fault of the receiving party.

10. Marketing services disclaimer

SEO, advertising and digital marketing results depend on many factors outside our control (competition, platform policies, budgets, product-market fit and search algorithm changes). We do not guarantee specific rankings, traffic volumes or revenue outcomes. We commit to professional execution and transparent reporting based on the agreed scope.

11. Warranties and limitation of liability

We provide services with reasonable skill and care. The website and materials are provided “as is” without warranties of uninterrupted availability.

To the fullest extent permitted by applicable law, XLOXI’s total liability arising from any project or website use is limited to the fees you paid us for the specific services giving rise to the claim in the three (3) months preceding the claim. We are not liable for indirect, incidental, special or consequential damages, lost profits, lost data or business interruption.

12. Termination

Either party may terminate an engagement as set out in the applicable agreement. If you terminate for convenience, you remain responsible for fees for work completed and non-refundable third-party costs. We may suspend or terminate services for non-payment, abuse or material breach.

13. Privacy

Personal data is handled according to our Privacy Policy at https://xloxi.com/privacy-policy, which forms part of these Terms by reference.

14. Governing law

These Terms are governed by the laws of Sri Lanka. Courts in Sri Lanka have exclusive jurisdiction, without prejudice to any mandatory consumer protections that may apply in your country of residence.

15. Changes

We may update these Terms periodically. The “Last updated” date will reflect changes. Continued use of the website after updates constitutes acceptance where permitted by law. Material changes to active project agreements will be communicated and agreed in writing.
